Terms & Conditions

1. Acceptance of these Terms

These Terms & Conditions govern your access to and use of SurgiNote, including the website, beta application, generated outputs, sample tools, and related services we make available (collectively, the "Service"). By accessing or using the Service, you agree to these Terms. If you are using the Service on behalf of a practice, group, hospital, or other entity, you represent that you have authority to bind that entity.

2. Intended users and beta status

SurgiNote is intended for use by healthcare professionals and authorized administrative personnel involved in clinical documentation workflows. The Service is currently offered as a private beta. Features may change, be interrupted, produce incomplete results, or be withdrawn at any time. You understand that beta services inherently involve bugs, limitations, and evolving functionality.

3. No medical advice; user responsibility

SurgiNote is a documentation-assistance tool only. It does not provide medical advice, diagnosis, treatment recommendations, coding advice, legal advice, or professional judgment. You remain solely responsible for reviewing, editing, validating, and approving every note, output, and record before it is used, saved, signed, shared, billed from, or placed in a patient chart.

You must not rely on the Service as a substitute for your own clinical judgment, supervision, documentation obligations, or compliance review. The Service is not designed for emergency use or for autonomous patient-care decision-making.

4. Protected health information and permitted use

You are responsible for determining whether your use of SurgiNote is permitted under applicable law, your institutional policies, and any contractual obligations that apply to you. You must not submit protected health information, personally identifiable information, or other regulated data unless you have determined that such submission is authorized and all required agreements, consents, notices, and safeguards are in place.

If you choose to use SurgiNote with patient-related information, you are solely responsible for ensuring that the information is lawfully collected, disclosed, and processed. You represent that you have all rights and permissions necessary to provide any content you submit to the Service.

5. Account access and security

You are responsible for maintaining the confidentiality of your login credentials, verification methods, and any device used to access the Service. You must promptly notify SurgiNote if you suspect unauthorized access, credential compromise, or misuse. You are responsible for all activity occurring under your account or access session unless prohibited by law.

6. Acceptable use restrictions

You agree not to:

  • use the Service in violation of law, regulation, licensing obligations, or workplace policy;
  • submit content you do not have the right to use or disclose;
  • attempt to reverse engineer, scrape, interfere with, or disrupt the Service;
  • use the Service to create misleading, fraudulent, defamatory, or unlawful content;
  • use outputs without appropriate human review and approval;
  • circumvent access limits, security controls, or invite-only restrictions.

7. Inputs, outputs, and feedback

As between you and SurgiNote, you retain your rights in content you submit to the Service, subject to the rights necessary for us to operate, maintain, secure, troubleshoot, improve, and provide the Service. You are responsible for the legality, accuracy, and appropriateness of all inputs you provide.

Because the Service uses automated systems, outputs may be incomplete, inaccurate, outdated, biased, or unsuitable for your intended purpose. You agree that any comments, suggestions, bug reports, or other feedback you provide may be used by SurgiNote without restriction or compensation to improve the Service.

8. Intellectual property

The Service, including its software, design, branding, interfaces, and underlying materials, is owned by SurgiNote, LLC or its licensors and is protected by applicable intellectual property laws. These Terms grant you a limited, revocable, non-exclusive, non-transferable right to use the Service only as permitted by these Terms.

9. Availability, modifications, and suspension

We may modify, suspend, limit, or discontinue any part of the Service at any time, with or without notice. We may suspend or terminate access if we believe there is a security risk, legal risk, misuse, nonpayment, or breach of these Terms.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, SURGINOTE, LLC DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AVAILABILITY, ACCURACY, SECURITY, OR THAT OUTPUTS WILL BE COMPLETE, ERROR-FREE, OR SUITABLE FOR CLINICAL, BILLING, OR COMPLIANCE PURPOSES.

11. Limitation of liability

To the maximum extent permitted by law, SurgiNote, LLC and its officers, employees, contractors, and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of data, revenue, profits, goodwill, business opportunity, or patient-related harm arising from or related to the Service. To the maximum extent permitted by law, our total liability for claims arising out of or relating to the Service will not exceed one hundred U.S. dollars (US $100).

12. Indemnification

You agree to defend, indemnify, and hold harmless SurgiNote, LLC and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, judgments, losses, and expenses arising out of or related to your content, your use of the Service, your breach of these Terms, or your violation of law or the rights of any person or entity.

13. Governing law and updates

These Terms are governed by the laws of the State of Delaware, without regard to conflicts-of-law principles. We may update these Terms from time to time by posting a revised version on the Service. Your continued use after updated Terms become effective constitutes your acceptance of the revised Terms.
